2. PURPOSE

These General Terms and Conditions of Use and Sale (hereinafter the "Terms") govern access to the Site as well as the use of services offered by Soluax.ai, a SaaS platform for AI-generated content (images, videos, voice, UGC), accessible via a subscription and credit system.

3. ACCEPTANCE OF TERMS

Access to and use of the Site implies full and complete acceptance of these Terms.

Soluax.ai reserves the right to modify the Terms at any time. The applicable version is the one in force on the day of use of the Services.

4. ACCESS TO SERVICE – ELIGIBILITY CONDITIONS

The Services are accessible:

  • to individuals aged 18 and over,
  • to consumers and professionals,
  • worldwide.

The User guarantees that they have the legal capacity necessary to enter into a contract.

5. DESCRIPTION OF SERVICES

Soluax.ai offers in particular:

  • creation of virtual Avatars (fictional or authorized),
  • generation of AI content (images, videos, voice, UGC),
  • use of templates, locations and prompts,
  • a credit system consumed according to usage.

The Services may be modified, suspended or deleted at any time.

6. ACCOUNT CREATION

Access to the Services requires the creation of a personal user account.

The User undertakes to provide accurate and up-to-date information and remains solely responsible for the use of their account.

Soluax.ai reserves the right to suspend or delete any account in case of violation of these Terms.

7. AUTHORIZED AND PROHIBITED USE

The User undertakes to use the Services in a lawful, fair manner and in accordance with these Terms.

It is strictly forbidden to use the Services to:

  • represent an identifiable real person without written consent,
  • generate illicit, misleading, defamatory or fraudulent content,
  • violate privacy, image rights or intellectual property,
  • produce or distribute content involving minors,
  • attempt to access source code, perform reverse engineering or unauthorized scraping.
  • use prompts containing prohibited keywords related to sex, violence, hate speech, illegal activities, or any other content prohibited by law or these Terms.

Non-refund of credits for prohibited content: In the event that a User submits a prompt containing prohibited keywords (including but not limited to: sex, violence, hate speech, illegal activities), the credits consumed for such generation attempt will not be refunded, regardless of whether the content is generated or blocked by the system. The User acknowledges and accepts that the consumption of credits occurs at the time of submission of the prompt, and no refund will be granted for attempts involving prohibited content.

8. REAL PERSONS – DEEPFAKE

The generation of content representing an identifiable real person is only authorized if the User has obtained written, explicit and prior consent from the person concerned.

The User is solely responsible for obtaining, maintaining and validating this consent and undertakes to be able to produce it in case of complaint or inspection.

Soluax.ai has no obligation to verify and disclaims all responsibility in this regard.

9. GENERATED CONTENT – LIABILITY

Content generated via the Services is under the sole responsibility of the User.

Soluax.ai acts as a technical service provider and exercises no prior editorial control over content.

10. SUBSCRIPTIONS – CREDITS – PRICING

The Services are accessible via monthly subscriptions including credits, as well as via the purchase of additional credit packs.

Two types of credits exist:

a) Credits included in subscription

Credits included in the monthly subscription:

  • are allocated for each billing period,
  • are strictly personal,
  • cannot be carried over from one period to another,
  • expire automatically at the end of each period,
  • are lost in case of subscription cancellation.

No refund or compensation may be claimed for unused included credits.

b) Credits purchased in packs

Credits purchased in packs are subject to the following rules:

  • they are valid for one (1) year from the date of purchase;
  • in the event of subscription cancellation, pack credits are lost;
  • after one (1) year, any unused credits expire.

Summary (FR): Les crédits achetés en pack sont valables pendant 1 an à compter de la date d'achat. En cas d'annulation de l'abonnement, les crédits des packs sont perdus. Passé 1 an, les crédits non utilisés expirent.

In case of user account deletion, unused purchased credits may be lost without compensation.

Credits are consumed automatically when using the Services. The number of credits required is displayed before each validation.

In case of proven technical failure, the credits concerned may be refunded.

Non-refund for prohibited content: Credits consumed for generation attempts involving prohibited keywords (sex, violence, hate speech, illegal activities, etc.) as defined in section 7 are not refundable, even if the content generation is blocked or fails.

11. PAYMENT

Payments are made via the Stripe platform.

Soluax.ai does not store any banking data.

12. RIGHT OF WITHDRAWAL (EU)

In accordance with European law, the User has a right of withdrawal of fourteen (14) days.

However, the User acknowledges and accepts that the execution of the Services begins immediately after purchase and expressly waives their right of withdrawal for Services already executed.

Consumed credits are not refundable.

No refund is granted, except in case of proven technical failure.

13. CANCELLATION

The User may cancel their subscription at any time from their account.

Cancellation takes effect at the end of the current billing period. No early refund is due.

14. INTELLECTUAL PROPERTY

All of the Site, Services, interfaces, software and technologies are the exclusive property of Soluax.ai.

Any reproduction, exploitation or reverse engineering attempt is prohibited.

Generated content belongs to the User. The User grants Soluax.ai a non-exclusive, worldwide and free license strictly necessary for the operation, maintenance and improvement of the Services.

No commercial or marketing use is made without prior agreement.

15. LIMITATION OF LIABILITY

Soluax.ai does not guarantee the accuracy of results, the absence of errors, or suitability for a specific use.

Soluax.ai's liability is strictly limited to the amount paid by the User during the three (3) months preceding the generating event.

Indirect damages are expressly excluded.

16. THIRD-PARTY LINKS

Soluax.ai disclaims all responsibility regarding third-party sites or services accessible via links.

17. APPLICABLE LAW – JURISDICTION

These Terms are governed by French law.

The consumer may bring proceedings before the courts of their domicile in accordance with European consumer law.

18. FINAL PROVISIONS

If any provision of these Terms is declared null, the others shall remain fully applicable.
